Terms of Service

These Terms of Service (the "Terms") are a binding agreement between Bright Beam International, Inc. ("Bright Beam", "we", "us") and the customer that creates a workspace or uses Beam.expert (the "Service"). If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to it.

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is a business tool and is not directed to children under 16; we do not knowingly collect their personal data.

By creating an account, clicking to accept, or using the Service you agree to these Terms and to our Privacy Policy, which explains how we handle personal data and is incorporated by reference. If you do not agree, do not use the Service.

Beam.expert is a workspace in which AI agents help plan and run business work: drafting content, preparing plans, retrieving your workspace knowledge, and proposing actions in connected applications. The Service uses third-party large language models, embedding models, and image models ("AI Providers") to generate output.

• AI output is generated automatically and may be inaccurate, incomplete, biased, or unsuitable. You are responsible for reviewing output before relying on it or sending it to anyone.
• Human approval is a core control of the Service. Actions in connected applications (for example sending an email, creating a calendar event, or creating a document) are only proposed by agents; they run only after a person in your workspace explicitly approves them. You are responsible for every action you approve.
• You must not use AI output to make decisions with legal or similarly significant effects on individuals (employment, credit, housing, insurance, healthcare) without meaningful human review, and you must comply with any laws that apply to such decisions.
• Output may be similar or identical to output generated for other customers. We do not guarantee uniqueness and grant no exclusivity in output.
• Your prompts, knowledge, and outputs are not used by us or by our AI Providers to train foundation models. See the Privacy Policy for how AI processing works.

You are responsible for keeping credentials confidential, for all activity under your account, and for promptly notifying us of unauthorized use. Use a strong, unique password and keep your email address current so we can reach you about your account and security.

Workspace owners may invite teammates and assign roles (owner, admin, member, viewer). Owners and admins are responsible for the people they invite, for what those people are permitted to see and do, and for removing access when it is no longer appropriate. Members act on the workspace's behalf; the Customer is responsible for their conduct under these Terms.

If you join a workspace owned by someone else, the owner controls that workspace's data and may remove you at any time. Your own workspace remains yours.

You agree not to, and not to allow anyone using your workspace to:

• violate any law or regulation, or infringe or misappropriate anyone's intellectual property, privacy, or other rights;
• upload or generate content that is unlawful, defamatory, harassing, sexually explicit involving minors, or that promotes violence or discrimination;
• send unsolicited bulk communications, impersonate people or organizations, or run deceptive marketing through connected applications;
• attempt to circumvent approvals, rate limits, credit accounting, security controls, or access data belonging to another workspace;
• probe, scan, or test the vulnerability of the Service without written permission, or introduce malware;
• use the Service to build a competing product, resell it without a written agreement, or extract model weights or systematic outputs to train other models;
• process protected health information, payment card data, or other regulated categories unless we have agreed in writing that the Service is appropriate for them;
• use the Service in a way that violates the acceptable-use policies of our AI Providers or of any application you connect.

We may investigate suspected violations and may suspend or terminate access where we reasonably believe these rules have been broken, taking into account the severity of the issue and the risk to others.

You own the content, files, prompts, knowledge, workflow definitions, and business data you submit to the Service ("Customer Data"), and you own the output generated for you to the extent permitted by law. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Data solely to provide, secure, support, and improve the Service as described in these Terms and the Privacy Policy.

You are responsible for having the rights and permissions needed to submit Customer Data, including any notices or consents required from the people whose personal data it contains. You must not submit data you are not permitted to share with our subprocessors.

Where we process personal data contained in Customer Data on your behalf, we act as your processor (or service provider) and you act as controller (or business). Our Data Processing terms apply and are available at /legal/data-processing.

We may collect and use aggregated, de-identified usage information (for example how often features are used or how long generations take) to operate and improve the Service. This information does not identify you, your users, or your customers.

You may authorize the Service to connect to third-party applications (for example email, calendar, and document tools), and payments are handled by a third-party payment processor. Those services are governed by their own terms and privacy policies; we do not control them and are not responsible for their acts or omissions.

Connections are made through OAuth or similar mechanisms and can be revoked in the Service or in the third-party application at any time. Revoking access stops future actions but does not undo actions already approved and completed.

If you connect Google Workspace applications, Google user data obtained through Google APIs is used only to provide the features you request, is never sold or used for advertising, and is handled in accordance with the Google API Services User Data Policy, including its Limited Use requirements.

New workspaces start with a free 14-day trial of the Scale plan and 100 task credits. No payment method is required and nothing is charged automatically. When the trial ends, your data is retained but AI execution pauses until you choose a paid plan.

Paid plans are billed in advance on a monthly basis through our payment processor and renew automatically until cancelled. You may cancel at any time from Plan & billing; cancellation takes effect at the end of the current billing period and we do not provide refunds for partial periods except where required by law.

Task credits meter AI usage: one credit per Beam request or agent preview, and one credit per AI step in a workflow run. Plans include a monthly credit allowance that resets each billing cycle and does not roll over. Additional credits can be purchased on a sliding per-credit scale; purchased credits do not expire while your account is active and are non-refundable once used. Credits reserved for a request that fails are refunded automatically.

Prices exclude taxes. You are responsible for applicable sales, VAT, GST, or similar taxes, which are calculated and added at checkout where required. We may change prices with at least 30 days' notice; changes apply from your next billing cycle.

If a payment fails we will retry and notify you. We may suspend paid features if payment remains outstanding for 14 days after notice.

The Service, including its software, agents, prompts we author, designs, and trademarks, is owned by Bright Beam and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

If you send us ideas or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. Customer Data is your confidential information.

We maintain administrative, technical, and physical safeguards appropriate to the nature of the data, including encryption in transit and at rest, role-based access, tenant isolation, approval gates on external actions, and audit logging. Security details and a subprocessor list are published at /legal/data-processing.

We will notify you without undue delay, and in any event within 72 hours of confirmation, of a personal-data breach affecting your Customer Data, and will provide information reasonably needed for your own notification obligations.

You may stop using the Service and delete your workspace at any time from Settings. We may suspend or terminate access for material breach of these Terms, non-payment, legal requirement, or a genuine security risk, with notice where practicable.

After termination or deletion you may export your workspace data for 30 days, after which we delete or de-identify it within 90 days except for data we must retain for legal, tax, or security purposes (for example billing records and audit logs), which we retain only as long as required.

We warrant that the Service will perform materially as described in our documentation and that we will not materially reduce its core functionality during a paid term. Your sole remedy for breach of this warranty is for us to correct the non-conformity or, failing that, to refund prepaid fees for the affected period.

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE. Some jurisdictions do not allow these exclusions, in which case they apply to the fullest extent permitted.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF THESE TERMS, HOWEVER CAUSED.

EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US$100 IF NO FEES WERE PAID).

These limitations do not apply to a party's indemnification obligations, to breach of confidentiality, to infringement or misappropriation of the other party's intellectual property, to liability that cannot be limited by law, or to a party's gross negligence or willful misconduct.

We will defend you against third-party claims alleging that the Service, used as permitted, infringes a patent, copyright, or trademark, and will pay resulting damages and costs. This does not cover claims arising from Customer Data, AI output you chose to use, connected third-party applications, or combinations with items we did not provide.

You will defend us against third-party claims arising from Customer Data, your use of AI output, your approval of connected actions, or your breach of the Acceptable use section, and will pay resulting damages and costs.

The indemnified party must promptly notify the other, give reasonable cooperation, and allow the indemnifying party to control the defense, provided no settlement imposes obligations on the indemnified party without its consent.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Subject to the next paragraph, disputes will be resolved exclusively in the state and federal courts located in Los Angeles County, California, and both parties consent to that jurisdiction.

Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other party (for us, legal@beam.expert) and allowing 30 days for a response. If you are a consumer in the European Economic Area, the United Kingdom, or another jurisdiction whose mandatory law gives you the right to bring claims in your home courts, nothing in this section removes that right.

Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

We improve the Service continuously and may add, change, or retire features. We will give at least 30 days' notice by email or in-product for changes that materially reduce core functionality of a paid plan.

We may update these Terms. For material changes we will notify you at least 30 days before they take effect, by email to the workspace owner and in the product. Continued use after the effective date constitutes acceptance; if you do not agree you may cancel before the change takes effect and receive a pro-rata refund of prepaid fees for the remaining term.

These Terms, the Privacy Policy, and the Data Processing terms are the entire agreement between the parties about the Service and supersede prior agreements on that subject. If any provision is unenforceable it will be modified to the minimum extent necessary and the rest remains in effect. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets, with notice to us. We may assign these Terms to an affiliate or successor. Neither party is liable for failure to perform caused by events beyond its reasonable control.

Notices to us must be sent to legal@beam.expert or to our mailing address. Notices to you will be sent to the email address on your account.
